1. Agreement to these terms

These Terms of Use ("Terms") govern your access to and use of the website at ztnexus.com (the "Site"), operated by Ztnexus Institute ("Ztnexus", "we", "us"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. The Site and our services

The Site provides information about Ztnexus Institute, its research, training and advisory services, and the Nexus Model. Descriptions on the Site are provided for general information. Actual engagements — including scope, deliverables, fees and timelines — are governed by separate written agreements between Ztnexus and the partner organization, which prevail over anything on the Site.

3. Accounts

• Account registrations are reviewed by the institute before activation, and access may be limited to engagement partners.
• You are responsible for the accuracy of the information you provide and for keeping your credentials confidential.
• Notify us promptly of any unauthorized use of your account.
• We may suspend or close accounts that violate these Terms or that remain inactive.

4. Acceptable use

You agree not to:

• use the Site in any way that violates applicable law;
• attempt to gain unauthorized access to the Site, other accounts, or related systems;
• interfere with the Site's operation, including by introducing malicious code or placing unreasonable load on our infrastructure;
• scrape, harvest or collect information from the Site for unsolicited communications;
• misrepresent your identity or your affiliation with any organization.

5. Intellectual property

The Site and its contents — including text, graphics, logos, the "Ztnexus" name and the Nexus Model materials — are owned by or licensed to Ztnexus Institute and are protected by intellectual property laws. You may view and print pages for your own internal, non-commercial reference. Any other reproduction, distribution or creation of derivative works requires our prior written permission.

The Site may link to third-party websites (for example, font or hosting providers). We do not control and are not responsible for third-party content, policies or practices. Links are provided for convenience and do not imply endorsement.

To the maximum extent permitted by law, Ztnexus disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Content on the Site is general information and does not constitute professional advice for your specific circumstances.

To the maximum extent permitted by law, Ztnexus Institute will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising out of or in connection with your use of the Site. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

9. Indemnity

You agree to indemnify and hold harmless Ztnexus Institute and its personnel from claims, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Site.

10. Governing law

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles. The courts of Singapore will have exclusive jurisdiction over disputes arising from these Terms or the Site, except where applicable law grants you the right to bring proceedings elsewhere.

We may revise these Terms from time to time by updating this page and its "Last updated" date. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
